By accessing and using the Teraquency Pty Ltd (“Teraquency”) website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our website or services.

2. Services

Teraquency provides software development, AI solutions, cybersecurity, digital marketing, and related technology services. The specific scope, deliverables, timeline, and pricing for any project will be outlined in a separate written agreement or statement of work (SOW) between Teraquency and the client.

3. Intellectual Property

All content on this website, including text, graphics, logos, images, and software, is the property of Teraquency Pty Ltd and is protected by Australian and international copyright laws. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent. Intellectual property rights for client projects will be defined in the respective project agreement.

4. Client Obligations

When engaging our services, clients agree to:

  • Provide accurate and complete information necessary for the project
  • Respond to requests for feedback and approvals in a timely manner
  • Make payments according to the agreed payment schedule
  • Ensure they have the rights to any materials they provide for use in projects
  • Not use our services for any unlawful or prohibited purpose

5. Payment Terms

Payment terms, including amounts, schedules, and methods, will be specified in the project agreement. Unless otherwise agreed, invoices are due within 14 days of issue. Late payments may incur interest at a rate of 2% per month on the outstanding balance. Teraquency reserves the right to suspend services for overdue accounts.

6. Limitation of Liability

To the maximum extent permitted by Australian law, Teraquency shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our website or services. Our total liability for any claim shall not exceed the amount paid by the client for the specific services giving rise to the claim.

7. Warranties and Disclaimers

Our website is provided “as is” without warranties of any kind, either express or implied. While we strive to provide accurate and up-to-date information, we make no guarantees about the completeness, reliability, or accuracy of the content. Warranties for specific services will be outlined in the relevant project agreement.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of any agreement between the parties, unless the information becomes publicly available through no fault of the receiving party.

9. Termination

Either party may terminate a service agreement with 30 days written notice. In the event of termination, the client shall pay for all work completed up to the termination date. Teraquency will provide all completed deliverables and assist with a reasonable transition period.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Victoria, Australia. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.

11. Changes to Terms

Teraquency reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website. Your continued use of our website after changes are posted constitutes acceptance of the updated terms.
